Charter of the Cámara de Comercio de Anhui México

Chapter One: General Provisions

Name: Cámara de Comercio de Anhui México

Nature: This chamber of commerce is a non-political and non-profit non-governmental organization.

Purpose: Information exchange platform, work and life assistant, member mutual aid center, to play the role of connecting and serving members. Leverage the strengths of members to achieve the result of participation, sharing and common development

(1) To foster friendship and affection among Anhui people in Chinese-funded enterprises in Mexico, foster a spirit of mutual assistance and cooperation, provide information consultation on work and life, and assist in safeguarding the rights and interests of members;

(2) Promote the traditional virtues and values of Anhui Huizhou merchants' culture;

(3) Assist fellow Anhui compatriots in integrating into the local Mexican society and working and living happily;

(4) Promote exchanges and cooperation between Mexico and Anhui in various fields such as economy and trade, culture and science and technology.

Chapter Two: Members

Membership types: Corporate members, individual members, honorary members

Companies can apply to become corporate members. Corporate members who pay membership fees will become corporate members of the chamber of commerce

Membership obligations: Members should abide by Mexican laws, recognize the bylaws of this association, actively participate in the activities of this association, love their hometown and the association.

Corporate membership rights

  1. Members have the right to enjoy various service items and activities organized by this association.

2. The right to participate in various activities organized by this association and attend relevant meetings.

3. Enjoy the right to vote, the right to elect and the right to be elected.

4. The right to share information and receive assistance from this association and its members.

5. Make suggestions for the work of this association.

6. The right to publish information in the internal media of this association, but without defaming or slandering others.

7. Have the right to be informed of the financial expenditures of this association.

Chapter Three: Expenses

Source of funds:

  1. Membership fee for corporate members;

2. Voluntary donations by corporate (individual) members;

3. Grants and donations from other channels.

Chapter Four: Organizational System

This association operates under a system where the president is responsible under the leadership of the council.

Article 1: Council

The Council is the highest body of this association and has the right to decide and interpret any matters not stipulated in the articles of association.

(1) Formulate and amend the articles of association;

(2) Elect and remove the president, executive president, executive vice president and vice president;

(3) Review the work report and financial report of the council;

(4) Decide on the admission or expulsion of enterprise members

(5) Determine the working policies and tasks of this association;

(6) Implement the resolutions of the members' general meeting

(7) To decide on the liquidation and termination of this association;

(8) Represent the chamber of commerce in contacting government agencies and other social organizations;

(9) The council consists of five members. At the time of the change of term, the president must serve all the previous members and be nominated by the Council and elected by the council. The administrative body of this association is formed by the president.

(10) The valid quorum for the council meeting shall be more than half of the total number of all council members of the current council. The meeting shall be held once every three months. The valid resolutions of the council meeting must be passed by more than half of the attendees.

(11) Directors must be corporate members, and directors are elected by the members' general meeting.

(12) The council is composed of the President, Executive President, Executive Vice President and Secretary-General.

(13) Requirements for the Council:

Have a certain influence in society and among fellow villagers;

Enthusiastic about the work of this association, willing to help others, with the ability and spirit of dedication;

In good health and capable of persisting in normal work;

Be able to contribute to the association with full enthusiasm and make the greatest dedication in terms of economy and energy.

Article 2: President (1 person)

(1) The president has full authority to represent the association externally and preside over meetings and association affairs internally.

(2) When the president is absent or on leave for any reason, he or she may entrust in writing the executive president, the executive vice president or the secretary-general to convene and preside over the meeting.

Article 3: Executive President (1 person)

(1) In the event that the president is away, handle the affairs of the association on behalf of the president.

(2) When the executive president is absent or on leave for any reason, he or she may authorize the executive vice president to exercise all the powers on his or her behalf.

Article 4: Executive Vice Presidents (2 persons)

(1) In the event that the executive president is absent, one person shall be elected as the rotating president to handle the affairs of the association.

(2) When all executive vice presidents are absent or on leave for any reason, they may authorize the secretary-general to exercise all their powers on their behalf.

Article 5: Honorary President and Advisor

(1) Those who have made contributions to this association or donated large sums of money may be recommended by the president and approved by more than half of the council members to be appointed as honorary presidents or advisors.

(2) Any person who has ever served as the president of this association and whose term of office has expired without re-election shall be appointed as the permanent honorary president to show respect.

Article 6: Secretariat

(1) The Secretariat shall have the position of Secretary-General, who is responsible for all the work of the Secretariat.

(2) If the president, executive president or executive vice president is absent or on leave for any reason, the Secretary-General shall exercise all their powers on their behalf.

(3) Each president, executive president and executive vice president unit shall appoint one person as a liaison officer to assist the secretary-general in carrying out work.

Article 7: Vice Presidents (4 positions)

Have a significant influence or leading role in the business field of this association;

Obey laws and regulations and be passionate about the work of the chamber of commerce;

As a candidate for director.

Article 8: Term of Office

(1) A term of two years;

(2) The re-election of the president must be approved by more than half of the members of the council meeting.

(3) The addition of new members to the council requires the approval of more than half of the members at the council meeting before they can join the council.

Article 9: General Meeting of Members

(1) This association holds a general meeting of corporate members once a year from April to June. The valid quorum for the annual general meeting is more than half of the total number of valid members for that year. If a member is unable to attend for any reason, they must make a written statement. An effective resolution must be passed by more than half of the attendees at the meeting.

(2) The general meeting of members shall be convened by the president, and the chairperson shall be held by the president.

(3) The members' assembly listens to and reviews the work summaries of the president and each department for the past year and the work reports for the next year.

Article 10: Withdrawal and Termination of Membership

(1) Members who wish to withdraw from the association must notify the Secretariat of the association in writing.

(2) If a member of this association damages the reputation of the association or fails to abide by the association's articles of association and resolutions, their membership may be terminated upon the approval of the council meeting.

(3) Once a member withdraws from the association or their membership is terminated, the previously donated funds, items or membership fees they have paid cannot be retrieved, and their membership rights will be immediately suspended.

Article 11: Members of this association have the right to review all the documents of this association.

Matters not covered in the bylaws of this association shall be the responsibility of the council of this association.

The right to interpret this charter belongs to the council of this association.
